3. B2B-only service
Klarmi is intended exclusively for legal entities that use the services in the course of their professional, commercial or institutional activity.
At this stage, the services are available to legal entities registered in Romania.
Klarmi is not intended for natural persons, consumers, authorized natural persons, individual enterprises or family enterprises.

If these statements are false, VELUNO may refuse, suspend or terminate access and may use the legal remedies against the responsible person or entity.

Subscription means the temporary right to use the Service according to the plan chosen and paid for.
5. Use of the website
The information published on the website is for presentation and information purposes.
The descriptions, demos, report examples and images may illustrate available features, planned features or configurations that differ depending on the plan, integration or Client.
The features actually contracted are those shown in the selected plan, the accepted offer or the Platform interface.
The Client must not use the website content in a way that is illegal, fraudulent or abusive, or that affects the security, operation or reputation of Klarmi.
6. Concluding the contract by electronic means
The contract between the Client and VELUNO may be concluded by electronic means.
The technical steps of contracting may include:
- creating the account;
- verifying the email address;
- filling in the Client's details;
- choosing the plan;
- checking the information entered;
- entering the payment method, if applicable;
- accepting the contractual documents;
- expressly accepting the unusual clauses;
- confirming the order or activating the subscription.
Before confirming the order, the Client must be able to check and correct the data entered.
The contract is deemed concluded when VELUNO confirms the activation of the subscription or the acceptance of the order, by email, in the account or by another electronic means that can be stored and reproduced.
The contract is concluded in Romanian.
VELUNO stores proof of contracting, including:
- the identity of the account that accepted;
- the date and time of acceptance;
- the plan or offer accepted;
- the version of the contractual documents;
- the express acceptance of the unusual clauses;
- the activation confirmation and the relevant subscription history.
The Client can save and reproduce the Terms published on the website and can request by email a copy of the accepted version.
7. The Klarmi account
The Client must provide correct data and update it when changes occur.
The Client is responsible for:
- designating the authorized Users;
- setting access rights;
- protecting the login details;
- the security of the email addresses and devices used;
- the actions carried out through its accounts;
- revoking the access of persons who are no longer authorized;
- giving immediate notice of suspicious or unauthorized access.
The Client may not make the account available to another legal entity and may not resell, sublicense or transfer access without VELUNO's written consent.
Klarmi may require additional checks, multi-factor authentication, a change of credentials or other reasonable security measures.
8. Description of the service
Klarmi is an informational business intelligence tool for centralizing, structuring and presenting data coming from the sources connected by the Client.
Depending on the plan and the available integrations, the Platform may offer:
- dashboards;
- performance indicators;
- consolidated views and comparisons;
- commercial and operational reports;
- reports on sales, costs, marketing, products or stock;
- automatically generated alerts and observations;
- PDF and CSV exports;
- other features described in the Platform or in the accepted offer.
Klarmi is not an accounting, audit, financial, tax, legal or investment consulting service, or an advertising campaign management service.
Klarmi information and reports do not represent guarantees, certifications or promises regarding a commercial, financial, tax, advertising or operational result.
The Client remains responsible for checking the information and for all decisions made in its own business.
9. Free period
Klarmi may offer a free trial period of 30 days.
The free period:
- does not require entering a card;
- does not automatically turn into a paid subscription;
- does not renew automatically;
- may have different features or limits compared to the paid plans;
- ends automatically when the period expires, if the Client does not activate a subscription.
After expiry, access may be limited, suspended or closed according to the data retention policy set out in these Terms.
Klarmi may refuse or stop the trial in the case of fake accounts, abusive use, security risks, breaches of the Terms or unjustified repeated attempts to obtain free access.
10. Plans, prices and VAT
The applicable plans, features, limits and prices are those shown on the pricing page, in the contracting interface or in the accepted offer.
Klarmi may offer monthly or annual subscriptions, or other billing periods.
Before a paid subscription is activated, the Client will be shown at least:
- the price;
- the currency;
- the billing period;
- the renewal frequency;
- whether VAT is included or not;
- the main features and limits of the plan.
VELUNO is registered for VAT purposes.
The pricing page and the contracting flow will state clearly whether VAT is included in the price or added separately. Billing is done according to the information shown at contracting and the applicable law.
11. Payment and invoicing
Subscriptions are paid in advance for the selected period.
When paid subscriptions are activated, online payments are processed through Stripe or through another processor expressly indicated in the payment flow.
The Client also enters into a direct contractual relationship with the payment processor for the use of its services.
VELUNO does not store the full card number, the security code or other complete payment data provided directly to the processor. VELUNO may receive and store technical identifiers, the payment status, the last digits of the card, its brand and other limited information needed to manage the subscription.
By activating a subscription with automatic renewal, the Client authorizes charges to the payment method for:
- the initial activation;
- each renewal;
- the applicable taxes and VAT;
- other services ordered and expressly accepted.
The Client must keep a valid payment method and keep the billing details up to date.
Invoices are issued electronically by VELUNO and sent through RO e-Factura when the law requires it. Invoices may also be sent by email or made available in the account.
12. Automatic renewal
Paid subscriptions renew automatically for successive periods equal to the selected period, until the renewal is canceled.
The Client can stop the automatic renewal before the next billing date.
Canceling the renewal does not take effect immediately. The subscription remains active until the end of the period already paid, unless it is suspended or terminated for a breach attributable to the Client.
At the end of the paid period, the subscription will no longer be renewed and access will be limited according to these Terms.
13. Failed payments
If the payment cannot be processed:
- the Client may be notified by email or in the Platform;
- Stripe or the applicable processor may retry the payment;
- the Client has a grace period of 30 calendar days;
- the Client must update the payment method or pay the outstanding amount.
After the grace period expires, Klarmi may suspend access in full or in part.
Suspension does not extinguish the amounts already invoiced or owed.
Client Data is not deleted immediately as a result of a failed payment.
14. Cancellation and refunds
The Client can stop the subscription renewal from the account, if this feature is available, or through a request sent to contact@klarmi.com.
Cancellation takes effect at the end of the period already paid.
Amounts paid are not refundable, in full or pro rata, if:
- the Client cancels after the billed period has started;
- the Client does not use the Platform;
- the Client does not connect the necessary sources;
- the Client does not use all the features of the plan;
- synchronization is affected by the actions of the Client or of an External Source;
- access is suspended or terminated because of a breach attributable to the Client.
A refund is granted only if it is required by law or if VELUNO permanently discontinues the Service, through no fault of the Client, before a paid period expires.
In this last case, VELUNO will refund, pro rata, the amount for the paid and unused period.
15. Integrations
Klarmi may offer integrations with:
- Shopify;
- Google Ads;
- Google Analytics 4;
- Google Search Console;
- Google Merchant Center;
- Meta;
- TikTok;
- Facturis;
- custom ecommerce platforms;
- other sources announced in the Platform.
The availability and functionality of an integration depend on:
- technical compatibility;
- the Client's configuration;
- the contracted plan;
- the permissions granted;
- the APIs and rules of the external provider;
- the limitations, approvals or checks imposed by third parties;
- maintaining access and authentication;
- changes made by the external provider.
Integrations for custom platforms are assessed individually. Klarmi does not guarantee that any platform, version, extension or configuration can be integrated.
The Client must hold all the rights, permissions and legal grounds needed to connect the accounts and access the data.
Klarmi will not ask the Client to send the passwords of external accounts by email or other unprotected channels. The connection will be made through the technical mechanisms provided by Klarmi and by the external provider, where these exist.
16. External Sources
Klarmi depends partly on services, APIs and infrastructure operated by third parties.
VELUNO does not control and cannot guarantee:
- the permanent availability of the External Source;
- the continuity of an API;
- the accuracy or completeness of the data provided;
- the frequency of updates;
- the continued availability of a particular feature;
- the approval or continued existence of the Client's account;
- that the third party's rules or fees remain unchanged.
An External Source may change, limit, suspend or stop access to data outside VELUNO's control.
Klarmi may change, suspend or remove an integration if it becomes unavailable, non-compliant, unsafe or impossible to maintain reasonably.
17. Accuracy of data and reports
Klarmi makes reasonable efforts to process the available data correctly.
Differences, delays or errors may occur because of:
- incomplete or incorrect data at the source;
- synchronization delays;
- retroactive changes made by External Sources;
- time zone differences;
- currency conversions;
- different attribution rules;
- the Client's configurations;
- API limits;
- expired authentications;
- technical incidents;
- different interpretations or formulas between platforms.
The Client must check in the original source the information used for decisions with significant impact.
Klarmi reports do not replace accounting, tax, legal or banking documents and must not be used as the sole proof for legal obligations.
18. The Client's obligations regarding data
The Client is responsible for the lawfulness of the data connected or sent to Klarmi.
The Client warrants that:
- it has the right to connect each account and source;
- it has a legal basis for processing personal data;
- it has informed the data subjects when the law requires it;
- the instructions given to VELUNO are lawful;
- the data does not infringe the rights of third parties;
- it does not send excessive data or data unrelated to the Service.
For certain reports, Klarmi may process the name and email address of the end customers of the Client's store.
The Client must not send through the Platform other personal data that is not needed for the features used.
Using Klarmi to process special categories of data, medical, biometric or genetic data, data on criminal convictions or other high-risk data is prohibited, unless VELUNO has approved such processing in advance and in writing.
19. GDPR roles
For the identification, contracting, billing, security and communication data relating to the Client's representatives and Users, VELUNO acts as an independent controller.
For the personal data imported from the Client's sources for the purpose of generating reports, the Client acts as controller and VELUNO acts as processor.
The processing carried out on behalf of the Client is governed by the Data Processing Agreement, which is part of the contractual relationship and must be accepted before activating the features that involve such data.
The Data Processing Agreement will govern at least:
- the subject matter and duration of the processing;
- the nature and purpose of the processing;
- the categories of data and data subjects;
- the Client's instructions;
- confidentiality;
- security;
- the use of sub-processors;
- the assistance provided to the Client;
- security incidents;
- the return and deletion of data;
- audits and the information needed to demonstrate compliance;
- international transfers, if any.
The Privacy Policy separately describes the processing for which VELUNO is an independent controller.
20. Rights over Client Data
The Client keeps its rights over Client Data.
The Client grants VELUNO a limited, non-exclusive and temporary right to access, copy, transmit, store, structure, combine, analyze, display and export Client Data only for:
- providing the contracted features;
- maintenance and technical support;
- securing the Platform;
- preventing fraud and abuse;
- fixing errors;
- complying with legal obligations.
VELUNO does not acquire ownership rights over Client Data.
VELUNO will not use the personal data of end customers for its own marketing, for sale to third parties or for training general artificial intelligence models.
For internal statistics, security and the technical improvement of the Service, VELUNO may use aggregated or anonymized data that does not identify the Client, the Users or the data subjects and does not allow reasonable re-identification.
21. Export, portability and switching service
The Client can export the reports and the data available for export in the following formats:
- PDF;
- CSV.
The standard export includes only the data actually processed or stored by Klarmi and available in the features of the Client's plan.
Klarmi does not guarantee the export of data to which the External Source does not allow access, or which Klarmi does not receive and does not store.
The Client may request, at any time, the start of the process of switching provider or porting data. When Regulation (EU) 2023/2854 on data applies, the notice period for starting the process will not exceed two months. Any financial obligations related to a fixed-term contract or to early termination apply only to the extent permitted by law and must be proportionate.
At the Client's request and within the limits of the applicable law, VELUNO will facilitate:
- the extraction of Exportable Data;
- porting it to the Client's infrastructure or to another provider;
- reasonable continuity of export during the transition process;
- providing the available technical information needed for the export.
The Klarmi standard formats are PDF for reports and CSV for structured data.
If mandatory law requires an additional format, the provision of metadata or a broader portability procedure, VELUNO will comply with the applicable requirements to the extent they apply to the Service.
The standard transition process will be completed, when technically possible, within no more than 30 calendar days from the date on which the applicable transition period begins.
If completion within this time frame is not technically possible, VELUNO will inform the Client, explain the reason and apply the additional period permitted by mandatory law.
The Client must cooperate reasonably, give complete instructions and download the data made available.
The standard export available directly in the Platform is not charged separately.
This clause does not oblige VELUNO to transfer:
- the source code;
- the algorithms;
- the internal formulas and methodology;
- the security mechanisms;
- trade secrets;
- internal administration tools;
- the data of other clients;
- assets over which a third party holds rights;
- elements that are not needed for the portability of Client Data.
22. Data retention and deletion
After the subscription expires or ends, Klarmi will keep the Client's Operational Data for up to 30 days.
During this period:
- access may be limited to viewing or export;
- synchronization and periodic processing may be stopped;
- the Client can export the available data in PDF or CSV;
- the Client can request earlier deletion.
When the 30-day period expires, the Operational Data will be deleted from the active systems within a maximum of 30 days.
Backup copies may temporarily contain data until the backup cycle expires, but not for more than 90 days after deletion from the active systems.
Data in backups:
- is protected and has restricted access;
- is not used for current commercial activities;
- is not restored except for system recovery, investigating an incident or fulfilling a legal obligation;
- is overwritten or removed according to the backup cycle.
VELUNO may keep separately, for the periods required or permitted by law:
- invoices and financial and accounting records;
- proof of contracting and of acceptance of the Terms;
- payment history;
- records needed to defend a right;
- security and incident investigation logs;
- data requested by authorities.
For personal data processed on behalf of the Client, the choice between return and deletion and any legal exception are also governed by the Data Processing Agreement.
23. Confidentiality
Each party will keep confidential the non-public information received from the other party.
Confidential information may include:
- commercial and financial data;
- reports;
- configurations;
- credentials and tokens;
- technical documentation;
- strategies;
- negotiated prices;
- information about clients, employees, collaborators and suppliers;
- security measures;
- trade secrets.
Confidential information may be used only for performing the contract.
The obligation does not apply to information that:
- was public without breach of an obligation;
- was lawfully held beforehand;
- was lawfully received from a third party;
- was developed independently;
- must be disclosed under the law or a binding request from the competent authority.
When the law allows, the party required to disclose will inform the other party and will limit the disclosure to what is necessary.
24. Security
VELUNO applies technical and organizational measures appropriate to the nature of the Service, the data processed, the state of the art and the risks identified.
No IT system can guarantee absolute security or the elimination of all incidents.
The Client is responsible for:
- the security of its own accounts and devices;
- controlling the authorized Users;
- protecting the email used for login;
- keeping credentials confidential;
- updating access rights;
- giving immediate notice of suspicious activity;
- following reasonable security instructions.
The Client must notify Klarmi immediately at contact@klarmi.com if it suspects that the account, an integration or the data has been compromised.
The specific obligations regarding security incidents involving personal data are governed by the Data Processing Agreement and the applicable law.
25. Permitted use and prohibitions
The Client may use Klarmi only for its own business and for lawful purposes.
The following are prohibited:
- unauthorized access to accounts, data or infrastructure;
- circumventing security measures or plan limits;
- scanning or testing for vulnerabilities without written consent;
- introducing malware or harmful code;
- intentionally overloading the infrastructure;
- unauthorized automation or abusive use of the APIs;
- copying, reselling or sublicensing the Platform;
- reverse engineering, decompiling or attempting to extract the source code, except where mandatorily permitted by law;
- using unlawfully obtained data;
- infringing the rights of third parties;
- using the Service for fraud, illegal surveillance or other unlawful activities;
- sending data that exceeds what is needed to use the Service.
Klarmi may investigate suspicious use and may take proportionate measures to protect the Client, the Platform, other clients and third parties.
26. Intellectual property
The Platform, code, architecture, interface, design, trademarks, documentation, formulas, methods, texts and technical components belong to VELUNO or its licensors.
For the duration of the subscription, the Client receives a limited, non-exclusive, non-transferable and revocable right to use the Platform according to the contracted plan.
The Client may use the exported reports and distribute them internally for its own business.
The Client does not acquire rights over the code, the Klarmi trademark, the technical structure, the algorithms or the internal components.
Feedback sent voluntarily may be used by VELUNO to improve the Service, without payment, while respecting confidentiality and without disclosing Client Data.
27. Availability, maintenance and support
For standard plans, Klarmi does not offer a guaranteed availability percentage and does not automatically grant credits or compensation for unavailability.
VELUNO makes reasonable commercial efforts to keep the Platform working.
There may be interruptions or limitations caused by:
- planned maintenance;
- urgent interventions;
- updates;
- software or hardware errors;
- security incidents;
- hosting, internet or infrastructure providers;
- External Sources;
- events beyond VELUNO's reasonable control.
When reasonably possible, planned work with significant impact will be communicated in advance.
Standard support does not guarantee a fixed response or resolution time.
A separate service level agreement may be negotiated only through a written document accepted by both parties.
28. Suspension of access
Klarmi may suspend access in full or in part if:
- the payment is not remedied within the grace period;
- the Client breaches the Terms;
- there is a security risk;
- the account is used without authorization;
- the information provided is false;
- the use affects the Platform or other clients;
- the suspension is required by law or by an authority;
- an External Source revokes access;
- it is necessary to prevent damage or an incident.
When the situation allows, Klarmi will inform the Client and give it a reasonable opportunity to remedy the situation.
Suspension may be immediate, without prior notice, if there is an urgent risk related to security, fraud, illegal access, harm to the infrastructure or a serious breach.
A suspension caused by the Client does not extend the paid period and does not give the right to a refund.
29. Termination of the contract by VELUNO
VELUNO may terminate the contract if:
- the Client does not remedy a material breach;
- the payment remains unpaid;
- the Client uses the Service unlawfully;
- the Client compromises the security of the Platform;
- continuing the contract would break the law;
- providing the Service becomes impossible;
- the Client enters dissolution or liquidation, to the extent permitted by law.
VELUNO may decide to permanently withdraw a plan or the Service by giving notice at least 30 days in advance, if advance notice is reasonably possible.
If VELUNO permanently discontinues a paid Service through no fault of the Client, it will refund, pro rata, the paid and unused period.
30. Consulting services
VELUNO may separately provide consulting services for ecommerce, automation, systems integration and the optimization of operational processes.
Consulting is not automatically included in the Klarmi subscription.
For each project, the scope, price, period, deliverables, dependencies and responsibilities will be set by offer, order, contract or written confirmation.
The document negotiated and accepted for the project prevails over these Terms for the matters it expressly regulates.
Consulting may include analysis, recommendations and action plans, but does not guarantee achieving a financial or commercial result.
The Client remains responsible for the decisions and implementations carried out in its own business.
The services are contracted and invoiced by VELUNO SRL and may be provided through designated representatives, employees or collaborators.
31. No guarantee of results
Within the limits permitted by law, Klarmi is provided on the basis of the features and availability existing at the time of use.
VELUNO does not guarantee:
- operation without any error;
- uninterrupted availability;
- compatibility with any system;
- the continuity of all integrations;
- the elimination of all security incidents;
- the absolute accuracy of data received from third parties;
- achieving specific sales, profits, savings or results;
- that the reports will match all of the Client's internal methods.
This clause does not limit the guarantees or obligations that cannot be excluded by law.
32. Limitation of VELUNO's liability
Klarmi is an informational tool. The Client remains responsible for checking the reports and for the decisions made based on them.
Within the limits permitted by law, VELUNO is not contractually liable for:
- lost profit;
- lost revenue;
- estimated savings not achieved;
- lost opportunities;
- loss of clientele or damage to reputation;
- indirect, special, incidental or consequential damages;
- the Client's commercial, financial, tax, legal or advertising decisions;
- errors or omissions coming from Client Data or External Sources;
- the unavailability or change of the External Source;
- the suspension of the Client's accounts by third parties;
- incorrect configurations made by the Client;
- unauthorized access resulting from the Client's failure to comply with its security obligations;
- the incompatibility of a custom platform;
- events beyond VELUNO's reasonable control.
For direct, certain and proven damages attributable to VELUNO through ordinary negligence, VELUNO's total and cumulative contractual liability is limited to the net value of the Klarmi subscriptions actually paid by the Client for the last 3 months immediately before the event that caused the damage.
If the subscription has an annual term, the limit is calculated pro rata for the equivalent of 3 months.
If the Client has used only the free period or has paid for less than 3 months, the limit is the amount actually paid for the Klarmi Service.
The limit applies to all cumulative claims arising from the same event or from related events.
The contractual cap does not affect:
- liability for fraud, intent or gross negligence;
- liability that cannot be excluded or limited by law;
- the rights of data subjects or the liability mandatorily provided for by the GDPR;
- obligations toward authorities or third parties that cannot be limited by the contract between VELUNO and the Client.
To the extent permitted by law, any amount paid directly to a data subject or to a third party for the same event and attributable to VELUNO will be taken into account when determining the contractual exposure between VELUNO and the Client, without limiting the mandatory rights of that person.
33. The Client's liability
The Client is liable for the actions of its Users and for breaches of contractual or legal obligations that are attributable to it.
The Client is liable for direct damages caused to VELUNO through:
- unlawful use of the Platform;
- unauthorized connection of a source;
- sending unlawfully obtained data;
- lack of a legal basis for processing the data;
- infringement of the rights of third parties;
- compromise of credentials through its fault;
- unlawful instructions given to VELUNO;
- breach of confidentiality or security obligations.
The Client is not liable for situations that are not attributable to it.
34. Force majeure and external events
Neither party is liable for non-performance caused by force majeure, a fortuitous event or an unforeseeable and unavoidable event beyond its reasonable control, as provided by law.
The affected party will inform the other party within a reasonable time and will take reasonable measures to limit the effects.
A technical or security incident does not automatically exonerate VELUNO if it was caused by a failure to fulfill the legal or contractual obligations incumbent on VELUNO.
35. Changes to the Service
Klarmi may improve, change, replace, limit or remove features for:
- security;
- legal compliance;
- compatibility;
- performance;
- adapting to external APIs;
- product development;
- removing unsustainable features.
VELUNO will avoid, as far as possible, removing without notice an essential feature included in a period already paid.
Urgent security, compliance or compatibility changes may be applied immediately.
If a change initiated by VELUNO permanently removes an essential feature of the paid plan and substantially reduces the Service, the Client may request the termination of the subscription and a pro rata refund of the unused period, if it is not offered a reasonable alternative.
36. Price changes
VELUNO may change prices for future periods.
The new price does not affect the period already paid.
Changes applicable to a renewal will be communicated at least 30 days in advance, if reasonably possible.
If the Client does not accept the new price, it can stop the renewal before the next billing date.
37. Changes to the Terms
VELUNO may update these Terms for legislative changes, security, the evolution of the Service or the clarification of the contractual relationship.
Changes may be communicated by email, by a notification in the account or by publication on the website.
Material changes will, as a rule, be communicated at least 30 days in advance and will take effect at the next renewal.
Changes required by law, by an authority or by an urgent security risk may take effect earlier.
If the Client does not accept a material change, it can stop the renewal before the change comes into force.
Materially changed unusual clauses will be subject to a new express acceptance when the law requires it.
38. Communications and electronic evidence
Contractual communications may be sent:
- to the email address associated with the account;
- through a notification in the Platform;
- through an electronic channel accepted by the parties.
The Client must keep the email address up to date and accessible.
Electronic records regarding the account, acceptance, activations, payments, notifications, exports and relevant actions may be used as evidence, as provided by law.
For legal notices, the Client can use the address contact@klarmi.com.
39. Subcontractors and sub-processors
VELUNO may use hosting, infrastructure, security, payment and support providers and other subcontractors needed to provide the Service.
The use of sub-processors that process personal data on behalf of the Client is governed by the Data Processing Agreement.
VELUNO remains responsible for its own obligations under the contract and the applicable law.
40. Assignment
The Client may not transfer the contract, the account or the usage rights to another legal entity without VELUNO's written consent.
VELUNO may transfer the contract as part of a reorganization, merger, division, transfer of business or transfer of the Platform, informing the Client and without unjustifiably reducing its rights.
41. Governing law and dispute resolution
The contract is governed by Romanian law and by the directly applicable acts of the European Union.
The parties will try to settle any dispute amicably.
The party raising a dispute will send a written notice describing the problem and the solution requested.
If the dispute is not settled amicably, the litigation will be resolved by the competent courts of the place of VELUNO SRL's registered office, to the extent this choice is valid and permitted by law.
42. Order of the contractual documents
The contractual relationship may be supplemented by:
- the individually negotiated offer or contract;
- the order form;
- the selected plan;
- the Data Processing Agreement;
- these Terms;
- the Privacy Policy;
- the applicable functional documentation.
In case of inconsistency:
- the document negotiated and signed or individually accepted prevails;
- the Data Processing Agreement prevails for the processing of personal data on behalf of the Client;
- the order form or the plan prevails for features, period and price;
- these Terms apply to all other matters.
43. Partial invalidity and non-exercise of rights
If a clause is declared null, invalid or unenforceable, the other clauses remain valid.
The affected clause will be interpreted or replaced to the extent necessary to comply with the law and to preserve the original economic purpose as much as possible.
Not exercising a right, or exercising it late, does not constitute a waiver of that right.
44. Express acceptance of unusual clauses
Before activating a paid subscription, the Client must separately and expressly accept the unusual clauses, including the clauses on:
- automatic renewal;
- cancellation at the end of the paid period;
- no refunds;
- suspension and termination of access;
- changes to the Service;
- no guarantee of results;
- the exclusion of certain categories of damages;
- the limitation of VELUNO's liability;
- the Client's liability;
- assignment of the contract;
- the jurisdiction of the courts of the place of VELUNO's registered office.
The acceptance will be recorded electronically together with the document version, the date, the time and the account that made the acceptance.
